1. Supplier and scope

These terms govern contracts for ModelWarden with Vasileios Stamatiou (the “Supplier”). They apply to consumers and business customers. A customer's differing terms apply only if expressly accepted by the Supplier.

2. Product

ModelWarden is locally operated safety, routing, and observability software for AI tools. The product description and selected plan shown when the order is placed define the agreed functionality.

The Supplier does not promise a particular AI-model result, uninterrupted availability of third-party model providers, or prevention of every possible misuse. Third-party services remain subject to their own terms.

3. Account security

Customers must provide accurate contact information and protect their credentials. Accounts may not be used unlawfully or to circumvent technical safeguards.

The Supplier may temporarily suspend access where necessary to address a concrete security risk or abuse and will notify the customer unless security or law prevents notice.

4. Free licence

The free licence may be used for business evaluation during the first 120 days from its original grant date. It then automatically becomes limited to private, non-commercial use.

Token reissue and heartbeat refresh do not restart the evaluation period. Customers may move to a paid plan at any time.

5. Paid licences

Annual licences grant the stated use for the paid term and renew as disclosed at checkout. Cancellation normally takes effect at the end of the current billing period unless mandatory law requires otherwise.

Lifetime licences grant an indefinite right to use the named major version. Locally signed licence tokens may have security expiry dates and may need reissue without ending the underlying lifetime entitlement.

Enterprise offers and custom capacity are concluded only through a documented Paddle order or a Paddle-hosted quotation flow.

6. Orders and payment

The checkout shows the product, price, term, and these terms before an order is submitted. The contract is concluded after successful payment confirmation and licence delivery.

Paddle.com operates the online order flow as authorized reseller and Merchant of Record. Paddle processes payment, supplies payment-related documents, and handles payment-related buyer requests under its own terms.

7. Licence grant

The customer receives a non-exclusive, non-transferable right to use the delivered software within the purchased plan. Mandatory statutory rights, including interoperability and backup rights, remain unaffected.

Licence tokens, account credentials, and managed provider credentials must not be shared with unauthorized third parties. Proprietary notices must not be removed.

8. Updates and security support

Security-related updates are provided for a rolling five-year period after each ModelWarden release, where the relevant component remains technically supportable. Supported versions and reporting channels are documented at /security.

Customers should install security updates promptly. Feature updates outside this support scope may require a newer plan or major version.

9. Conformity and availability

Statutory conformity and warranty rights apply. Mandatory consumer rules for digital products, including update duties, remain unaffected.

Maintenance, security measures, and third-party outages may temporarily limit portal availability. Licences already issued locally continue according to their signed validity and grace periods.

10. Liability

Liability is unlimited for intent, gross negligence, death or personal injury, and where mandatory law requires it.

For a slightly negligent breach of an essential contractual duty, liability is limited to damage typically foreseeable when the contract was concluded. Other liability for slight negligence is excluded to the extent permitted by law.

11. Termination and suspension

Termination for serious cause remains available. Term-based entitlements are deactivated at the applicable end date; statutory retention obligations continue.

Deleting an account does not retroactively remove payment or retention obligations. Annual licences are normally deleted after the paid period unless earlier cancellation or refund applies.

12. Withdrawal and voluntary refunds

Consumers retain the statutory withdrawal rights described in the separate withdrawal notice. The voluntary 30-day guarantee at /refund-policy applies in addition and does not limit statutory rights.

13. Law and disputes

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice does not remove mandatory protection under the law of their habitual residence.

The Supplier is neither willing nor obliged to participate in proceedings before a consumer arbitration board.

14. Changes and priority

The version accepted during checkout governs that order. Material changes affecting an ongoing contract will be notified in durable form where they are not solely beneficial or legally required.
